Terms of Business

These Terms of Business ("Terms") set out the basis on which Business Squared Ltd (company number 15891820, registered office: 15 Albatross Road, Exeter, England, EX2 7SB) ("we", "us", "our") provides services to clients ("you", "your"). They apply to all engagements unless varied in writing in a separate engagement letter, which will prevail in the event of conflict.

1. Our services

We provide fractional finance services including, but not limited to, Fractional CFO support, Financial Controller support, and Operational Finance support. The specific scope, deliverables and timing of each engagement will be set out in your engagement letter or statement of work.

We are not a firm of registered auditors and do not provide statutory audit services. Where regulated tax or accountancy work is required, we will either deliver it under appropriate professional standards or refer you to a suitably qualified partner.

2. Our commitments

We will perform our services with reasonable skill and care, in accordance with the fundamental principles of integrity, objectivity, professional competence and due care, confidentiality and professional behaviour.

3. Your responsibilities

You agree to provide complete, accurate and timely information, access to relevant systems and people, and to make management decisions yourself. You remain responsible for the accuracy of your financial records, regulatory filings and compliance with applicable law. We rely on the information you provide and are not responsible for losses arising from incomplete or inaccurate information.

4. Fees and payment

Fees, payment terms and any expenses will be set out in your engagement letter. Unless agreed otherwise, invoices are payable within 14 days of issue. We reserve the right to charge statutory interest on overdue amounts under the Late Payment of Commercial Debts (Interest) Act 1998 and to suspend services where invoices remain unpaid.

5. Term and termination

Either party may terminate an engagement by giving the notice period set out in the engagement letter. Either party may terminate immediately if the other commits a material breach which is not remedied within 14 days of written notice, becomes insolvent, or is otherwise unable to perform its obligations. Fees for work performed up to the date of termination remain payable.

6. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purpose of the engagement. This clause survives termination. We may disclose confidential information where required by law, regulation or a competent authority.

7. Data protection

We process personal data in accordance with the UK GDPR, the Data Protection Act 2018 and our Privacy Policy. Where we act as a processor on your behalf, the parties will enter into appropriate data processing arrangements.

8. Intellectual property

We retain ownership of all pre-existing materials, methodologies, tools, templates and know-how. On full payment of our fees, you receive a non-exclusive, non-transferable licence to use deliverables produced for you for your internal business purposes.

9. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited. Subject to that, our total aggregate liability arising out of or in connection with an engagement (whether in contract, tort, including negligence, breach of statutory duty or otherwise) will not exceed the fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim. We will not be liable for any indirect, special or consequential loss, loss of profit, loss of revenue, loss of goodwill or loss of opportunity.

10. Anti-money laundering and conflicts

We may be required to carry out client identification and verification checks before, during and after an engagement to comply with anti-money laundering legislation. We maintain procedures to identify and manage conflicts of interest and will discuss any potential conflicts with you before accepting or continuing an engagement.

11. Complaints

We aim to provide a high-quality service at all times. If you have a complaint, please raise it in writing with Darren Jasper at finance@businesssquared.co.uk. We will acknowledge your complaint within 5 working days and aim to provide a substantive response within 28 days.

12. Governing law and jurisdiction

These Terms and any engagement entered into under them are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
